1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you (“User“, “you“, or “your“) and Eufori Tech Private Limited (“we,” “us,” or “our“), concerning your access to and use of the Eufori mobile application (the “App“) and any related services (collectively, the “Services“).

By accessing or using our App and Services, you agree that you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms and Conditions, you are expressly prohibited from using the App and Services and must discontinue use immediately.

2. Age Restriction

Our Services are intended for users who are at least 18 years of age. By using the App and our Services, you represent and warrant that you are at least 18 years old. If you are under 18 years old, you are prohibited from using the App and Services and must discontinue use immediately.

3. Intellectual Property Rights

3.1 App Content

The App and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement thereof) are owned by Eufori Tech Private Limited, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

3.2 Trademarks

The Eufori name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Eufori Tech Private Limited or its affiliates or licensors. You must not use such marks without the prior written permission of Eufori Tech Private Limited. All other names, logos, product and service names, designs, and slogans on this App are the trademarks of their respective owners.

4. User Representations

By using the Services, you represent and warrant that:

  1. You have the legal capacity and agree to comply with these Terms and Conditions.
  2. You are at least 18 years old.
  3. You will not access the App through automated or non-human means, whether through a bot, script, or otherwise.
  4. You will not use the App for any illegal or unauthorized purpose.
  5. Your use of the App will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the App (or any portion thereof).

5. User Registration

You may be required to register with the App to access certain features. You agree to:

  • Provide accurate, current, and complete information about yourself.
  • Maintain and promptly update your account information.
  • Keep your password confidential and secure.
  • Notify us immediately of any unauthorized use of your account.

You are responsible for all activities that occur under your account and accept all risks of unauthorized access.

6. License

6.1 Grant of License

Subject to these Terms and Conditions, Eufori Tech Private Limited grants you a personal, non-exclusive, non-transferable, limited license to download, install, and use the App on compatible devices owned or controlled by you, solely for your personal, non-commercial use.

6.2 Restrictions

You agree not to:

  1. Modify, translate, adapt, or create derivative works based on the App.
  2. Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the App.
  3. Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of Eufori Tech Private Limited or its affiliates, partners, suppliers, or licensors.
  4. Rent, lease, loan, sell, sublicense, distribute, transmit, or otherwise transfer any rights to the App.
  5. Use the App for any commercial purposes without our express written consent.
  6. Use the App in any unlawful manner or in any manner that could damage, disable, overburden, or impair the App.

6.3 Termination of License

This license is effective until terminated by you or Eufori Tech Private Limited. Your rights under this license will terminate automatically without notice from us if you fail to comply with any term of these Terms and Conditions. Upon termination of the license, you shall cease all use of the App and destroy all copies, full or partial, of the App.

7. Subscription and Fees

7.1 Subscription Plans

Eufori offers subscription-based access to certain features of the App. By subscribing, you agree to pay the subscription fees and any taxes incurred at the time of purchase.

7.2 Payment and Renewal

  • Payment Method: You must provide a valid payment method. By providing payment information, you represent and warrant that you are authorized to use the designated payment method.
  • Auto-Renewal: Subscriptions automatically renew at the end of each subscription term unless canceled at least 24 hours before the end of the current period.
  • Cancellation: You may cancel your subscription at any time through your account settings in the App Store or Google Play Store.

7.3 Changes to Subscription Charges

We reserve the right to modify the subscription fees for the Services at any time. Revised fees will not apply retroactively and will only affect future renewals. We will provide you with reasonable prior notice of any changes in subscription fees to give you an opportunity to terminate your subscription before such changes become effective.

Reasons for Fee Changes May Include:

  • Inflation Adjustments: To account for changes in the cost of living and currency fluctuations.
  • Enhanced Features: Introduction of new features, services, or enhancements to existing functionalities.
  • Operational Costs: Increased costs of maintaining and operating the App and Services, including but not limited to hosting, security, and customer support.
  • Compliance Requirements: Additional costs associated with compliance to new regulations or legal requirements.

By continuing to use the Services after the fee change takes effect, you agree to pay the modified subscription fee.

8. Prohibited Activities

You may not access or use the App for any purpose other than that for which we make the App available. Prohibited activities include, but are not limited to:

  1. Unauthorized Data Mining: Systematically retrieving data or content to create a collection or database without written permission from us.
  2. Circumventing Security Measures: Attempting to bypass any measures of the App designed to prevent or restrict access.
  3. Harassment or Harm: Engaging in any behavior that is harassing, abusive, or harmful to other users.
  4. Unlawful Use: Using the App in a manner inconsistent with any applicable laws or regulations.

9. Linking to the App and Social Media Features

You may link to our homepage or content, provided that you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

9.1 Acceptable Use

  • You must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part where none exists.
  • You agree to cooperate with us in stopping any unauthorized framing or linking.

9.2 We Reserve Rights

We reserve the right to withdraw linking permission without notice and to disable any social media features and any links at any time.

10. Third-Party Websites and Content

The App may contain links to third-party websites or services that are not owned or controlled by Eufori Tech Private Limited.

  • No Control Over Third Parties: We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
  • Acknowledgment: You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with use of any such content or services.

11. App Management

We reserve the right to:

  1. Monitor Compliance: Monitor the App for violations of these Terms and Conditions.
  2. Take Legal Action: Take appropriate legal action against anyone who violates the law or these Terms.
  3. Modify or Discontinue Services: Modify or discontinue all or part of the App without notice.

12. Privacy Policy

We care about data privacy and security. Please review our Privacy Policy, which is incorporated into these Terms and Conditions. By using the App, you agree to be bound by our Privacy Policy.

13. Term and Termination

These Terms and Conditions remain in full force and effect while you use the App.

13.1 Termination by Us

We may terminate or suspend your account or access to the App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms and Conditions.

13.2 Effect of Termination

Upon termination:

  • All rights granted to you under these Terms and Conditions will terminate.
  • You must cease all use of the App and delete all copies from your devices.
  • Any provisions of these Terms that, by their nature, should survive termination shall remain in effect.

14. Modifications and Interruptions

14.1 Modifications to Terms

We reserve the right to change, modify, or replace these Terms and Conditions at any time. The updated Terms will be effective upon posting. It is your responsibility to review these Terms periodically.

14.2 Service Interruptions

We may experience hardware, software, or other problems or need to perform maintenance related to the App, resulting in interruptions, delays, or errors. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the App during any downtime or discontinuance of the App.

15. Governing Law

These Terms and Conditions and your use of the App and Services are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

16. Dispute Resolution

16.1 Jurisdiction

Any disputes arising under or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts located in Coimbatore, Tamil Nadu, India.

16.2 Arbitration

At our sole discretion, we may require you to submit any disputes to final and binding arbitration under the Arbitration and Conciliation Act, 1996.

17. Corrections

There may be information on the App that contains typographical errors, inaccuracies, or omissions. We reserve the right to:

  • Correct any errors, inaccuracies, or omissions.
  • Change or update the information at any time without prior notice.

18. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Eufori Tech Private Limited or its directors, employees, or agents be liable to you for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profits, even if we have been advised of the possibility of such damages.

19. Indemnification

You agree to defend, indemnify, and hold harmless Eufori Tech Private Limited and its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms and Conditions or your use of the App.

20. Miscellaneous

  • Entire Agreement: These Terms and Conditions, along with our Privacy Policy, constitute the entire agreement between you and us.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.
